Independent transaction advisory

We advise corporates, family groups, institutions and founders on buy-side and sell-side M&A, on equity and debt transactions, and on the structures that support them — and we introduce them to prospective investors, lenders and counterparties. Rooted in the Gulf, executed internationally.

ProMarket Consultancy W.L.L. acts in an advisory and introductory capacity only. It is not a licensed financial institution. Where a mandate requires regulated activity, that element is transferred to our CBB and CMA licensed partner entities.

The firm

Institutional-quality work, without institutional distance.

ProMarket Consultancy was founded in December 2012 by Faisal Al Hamdan and Rabia Abu Saifan, after careers at Global Investment House, Gulf Finance House, Evolvence Capital, Capital Management House and Unicorn Investment Bank.

Mandates are led by the partners themselves — from origination and preparation through prospect introduction, negotiation, structuring and close. There is no handover to a junior team between the pitch and the closing.

PMC is not a single-sector shop. The work is defined by transaction type rather than industry, and draws on a bench of technical, legal, tax and sector specialists assembled around each mandate.

Substance is a function of execution, not headcount.

How we engage

A consistent process, adapted to the mandate but never skipped.

  1. Mandate and scoping

Agree objectives, scope, deliverables and authorisation with all stakeholders. Confirm the information request list and workshop schedule.

  2. Preparation and positioning

Financial modelling, valuation, credit or equity story development, and preparation of the full transaction document set.

  3. Prospect introduction

Targeted, sequenced introductions to prospective investors, lenders or acquirers — off-market and confidential where the mandate requires it.

  4. Negotiation and structuring

Term sheet negotiation, structure selection, due diligence management and coordination of legal, tax and technical advisers.

  5. Close and beyond

Documentation support, conditions precedent and completion — with post-completion advisory or oversight where relevant. Definitive documentation and regulated steps are executed by the client's legal and licensed advisers.

Engagements combine an advisory retainer and a completion fee, aligned to the mandate's scope, duration and complexity. Where any element of a mandate requires a financial services licence, it is transferred to our partner and affiliate entities licensed by the CBB and the CMA.
